1Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between Nanosoft Consulting LLC ("Nanosoft School Ride," "we," "us," or "our") and any school district, educational institution, or other organization ("District") that enters into a transportation services agreement with us, as well as any parent, guardian, or authorized adult ("Family") who uses our parent communication portal or whose child receives transportation services from us.
By executing a transportation services agreement with Nanosoft School Ride, or by accessing our parent portal or other digital services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, do not execute a services agreement or use our digital platforms.
These Terms apply to all school transportation services provided by Nanosoft School Ride, including daily routes, special education transportation, field trips, and charter services.
These Terms should be read in conjunction with our Privacy Policy, which governs how we collect and use information, and any specific transportation services agreement executed between Nanosoft School Ride and the District.
2Services Description
Nanosoft School Ride provides professional student transportation services, including but not limited to:
- Daily School Routes: Scheduled home-to-school and school-to-home transportation on regular school days, operating according to routes and schedules agreed upon with the District.
- Special Education Transportation: Specialized transportation for students with disabilities under IEP or 504 Plans, including appropriate vehicle accommodations (wheelchair lifts, harness systems, aide seating) and compliance with IDEA and ADA requirements.
- Field Trip & Activity Transportation: Single-trip or multi-day transportation for school-sanctioned field trips, athletic events, and extracurricular activities, scheduled and confirmed in advance with the District.
- Charter Services: Charter transportation for district-related events, summer programs, and other purposes as agreed in writing.
Service routes, schedules, stop locations, and vehicle types are determined in coordination with the District and documented in the applicable transportation services agreement. We reserve the right to modify routes or schedules for safety reasons, weather conditions, road closures, or other circumstances beyond our control, with reasonable notice to the District.
3District Responsibilities
School districts contracting with Nanosoft School Ride agree to the following responsibilities:
- Provide accurate and complete student enrollment data, including names, addresses, grade levels, school assignments, IEP transportation requirements, and emergency contact information, prior to service commencement and promptly upon any changes
- Designate a primary transportation coordinator who serves as the point of contact for routing changes, incident reporting, and operational matters
- Notify Nanosoft School Ride of school schedule changes, cancellations, early dismissals, and delayed openings with at least 2 hours' notice when possible, or as soon as practicable in emergency situations
- Ensure that bus stops are safe, accessible, and compliant with state and local transportation regulations
- Communicate student conduct expectations and disciplinary procedures to students and families
- Pay invoices according to the agreed billing schedule set forth in the transportation services agreement
- Maintain the confidentiality of any proprietary routing, operational, or pricing information provided by Nanosoft School Ride
- Cooperate in good faith with safety audits, incident investigations, and compliance reviews
4Our Responsibilities
Nanosoft School Ride commits to the following standards in delivering transportation services:
- Safe Transportation: We will transport all students safely, following all applicable federal, state, and local transportation laws and regulations, including those of the Federal Motor Carrier Safety Administration (FMCSA) and applicable state departments of education.
- Qualified Drivers: All drivers hold valid Class B or Class C CDL licenses with applicable endorsements. All drivers complete pre-employment background checks, drug and alcohol screening, and annual motor vehicle record reviews consistent with FMCSA requirements.
- Driver Training: All drivers complete a minimum of 40 hours of pre-service training plus ongoing annual certification training covering defensive driving, student management, special needs transportation, and emergency evacuation procedures.
- Vehicle Maintenance: All vehicles are inspected daily by drivers and maintained on a preventive maintenance schedule that meets or exceeds manufacturer recommendations and applicable state regulations. All vehicles comply with applicable Federal Motor Vehicle Safety Standards.
- On-Time Performance: We target a 99.8% on-time performance rate and will notify Districts and, where applicable, families of any anticipated delays of 10 minutes or more.
- Communication: We will maintain open lines of communication with District transportation coordinators and respond to inquiries within one business day.
- Incident Reporting: We will immediately notify the District of any accident, incident, or safety concern involving students, and will provide a written incident report within 24 hours.
5Student Conduct
Transportation on a Nanosoft School Ride vehicle is an extension of the school day. Students are expected to follow the same conduct standards that apply in school. The following expectations apply to all students while on our vehicles or waiting at bus stops:
- Students must board and exit only at their designated bus stops unless written authorization from a parent/guardian and the District is provided
- Students must remain seated while the vehicle is in motion and wear a seatbelt where equipped
- Students must follow all directions from the driver promptly and respectfully
- Harassment, bullying, physical violence, or threatening behavior toward other students, drivers, or aides is strictly prohibited
- Vandalism or damage to vehicles is prohibited and may result in the student or their family being held financially responsible for repairs
- Students may not bring dangerous items, illegal substances, or controlled substances onto the vehicle
- Students may not tamper with safety equipment including emergency exits, fire extinguishers, or first aid kits
Serious or repeated violations of conduct expectations may result in temporary or permanent suspension of transportation privileges, at the discretion of the District. Nanosoft School Ride will cooperate fully with District-directed conduct investigations.
Drivers are authorized to remove students from the vehicle and contact the District or emergency services in the event of a serious safety threat. The safety of all students and the driver is always the top priority.
6Liability Limitations
Nanosoft School Ride maintains commercial auto liability insurance, general liability insurance, and excess umbrella coverage as required by state law and as specified in the transportation services agreement. Certificates of insurance are provided to contracting Districts upon request.
To the fullest extent permitted by applicable law:
- Nanosoft School Ride's liability for any claim arising from transportation services shall not exceed the amounts provided under our applicable insurance policies
- We are not liable for delays or service interruptions caused by circumstances beyond our reasonable control, including but not limited to severe weather, road closures, natural disasters, or public health emergencies
- We are not liable for personal property left on vehicles by students or other passengers
- We are not liable for injuries or damages caused by a student's own conduct that violates our Student Conduct policies
- In no event shall Nanosoft School Ride be liable for indirect, incidental, special, consequential, or punitive damages arising from the provision of transportation services
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
7Termination of Service
Transportation services may be terminated as follows:
- Termination by the District: A District may terminate a transportation services agreement in accordance with the notice and termination provisions set forth in that agreement. Early termination fees may apply as specified in the agreement.
- Termination by Nanosoft School Ride: We may terminate services upon written notice to the District if the District fails to pay undisputed invoices within 30 days of the due date, materially breaches these Terms or the transportation services agreement, or engages in conduct that makes continued performance impossible or unsafe.
- Immediate Suspension: We may immediately suspend services to an individual student whose conduct poses an immediate safety risk to other students, the driver, or themselves. We will notify the District within one hour of any such suspension.
- Effect of Termination: Upon termination, Nanosoft School Ride will return all student data to the District within 10 business days and delete all copies of student education records from our systems within 30 days, except as required for legal compliance or insurance purposes.
8Dispute Resolution
We are committed to resolving disputes quickly and fairly. The following process applies to any dispute arising from our transportation services or these Terms:
- Step 1, Good Faith Discussion: The parties agree to first attempt to resolve any dispute through good-faith discussion between designated representatives. Either party may initiate this process by providing written notice of the dispute.
- Step 2, Mediation: If a dispute cannot be resolved through discussion within 30 days, either party may request non-binding mediation before a mutually agreed-upon mediator. Mediation costs will be shared equally.
- Step 3, Arbitration: If mediation fails to resolve the dispute, it shall be submitted to binding arbitration under the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding. Each party bears its own attorneys' fees unless the arbitrator awards fees as part of the remedy.
Nothing in this section prevents either party from seeking injunctive or other emergency relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute.
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the state in which the District is located, without regard to conflict-of-law principles.
9Changes to Terms
Nanosoft School Ride may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide at least 30 days' advance written notice to contracting Districts of any material changes.
For non-material changes (such as corrections of typographical errors, clarifications that do not change the substantive rights of any party, or updates to contact information), we may update the Terms without advance notice. The updated Terms will be posted on our website with a revised "Last Updated" date.
Continued use of our transportation services after the effective date of updated Terms constitutes acceptance of the revised Terms. If a District objects to any material changes, it may terminate the services agreement in accordance with Section 7 above.
